Terms of Service

1. Who we are and what these terms cover

CineCirt is operated by W.W. Productions LLC, a Virginia limited liability company ("CineCirt," "we," "us"). These Terms of Service govern your access to and use of the CineCirt platform, including film submission, certification, the community, messaging, and the industry licensing marketplace (together, the "Service"). By creating an account or using the Service, you agree to these terms. If you do not agree, do not use the Service.

2. Eligibility and accounts

You must be at least 13 years old to use the Service, and at least 18 (or the age of majority where you live) to sign a distribution agreement or transact on the industry side. If you use the Service on behalf of a company, you represent that you are authorized to bind that company.

You are responsible for your account, for keeping your credentials secure, and for everything that happens under your account. Tell us promptly if you believe your account has been compromised.

3. The two sides of the Service

CineCirt has a filmmaker side (students who submit, certify, and share films) and an industry side (verified producers, distributors, and studios who browse, bid on, and license certified films). Industry access requires verification, and there is no direct communication between industry accounts and student accounts on the platform. Messaging is student to student only.

4. Rights in the films you submit

Submitting a film to CineCirt transfers the copyright in that film, exclusively and outright, under the CineCirt Submission and Rights Agreement you sign at submission. CineCirt becomes the owner of the film for all commercial purposes and is the only party that may sell, license, or broker it. You are credited as the creator of the film everywhere it appears, permanently.

You keep the right to show the film wherever no money changes hands, including festival submissions, screenings, a reel, a portfolio, and your own site or social accounts. You may not sell the film, license it, or place it with another distributor. When a buyer acquires the film, you sign a second document recording that specific sale.

Anyone else who worked on the film is yours to compensate. CineCirt does not divide payments among a cast and crew and does not arbitrate who is owed what.

5. What you promise about your content

You confirm that everything you submit, including films, artwork, credits, comments, and profile information, is your original work or properly licensed, and that it does not infringe anyone’s copyright, trademark, privacy, or publicity rights.

CineCirt runs technical checks on submitted films, including audio, video, and rights scans. These checks are a good-faith review, not a legal clearance. If infringing material passes our checks, responsibility for that material stays with you. Falsified submissions are grounds for immediate removal and account termination, and you are liable for claims and costs that result from them.

6. Acceptable use

Do not upload content that is unlawful, infringing, hateful, or harassing. Do not misrepresent who you are or who made a film. Do not scrape, reverse engineer, or interfere with the Service. Do not attempt to contact students through or around the platform if you hold an industry account. Community features are positive by design: category votes only go up, and comments must be substantive. We may remove content or restrict accounts that break these rules.

7. Certification

Certification indicates that a film passed CineCirt’s technical and rights checks at the time of review. It is not a legal opinion, a guarantee of non-infringement, or an endorsement. We may revoke certification if we receive credible evidence that a film should not have passed.

8. Fees, boosts, and industry plans

Submitting and certifying films is free for filmmakers during beta. Optional paid placements ("boosts") are disclosed to buyers and never affect certification. Industry plans are billed as described at signup and renew until cancelled. Except where the law requires otherwise, fees are non-refundable.

9. Connections and off-platform contact

Contact details on student profiles unlock only when both students agree to connect. What happens after you connect, on or off the platform, is between you. CineCirt is not a party to, and is not responsible for, interactions, agreements, or disputes between users.

10. Copyright complaints

If you believe content on CineCirt infringes your copyright, send a notice to legal@cinecirt.com with your contact information, a description of the work, the location of the material, a good-faith statement, and your physical or electronic signature, consistent with the DMCA. We respond to valid notices, including removing material and, for repeat infringers, terminating accounts.

11. Termination

You can stop using the Service and delete your account at any time. Removing a film from the catalog is handled under the Submission and Rights Agreement, and does not undo a transfer already made. We may suspend or terminate accounts that violate these terms, create legal risk, or harm other users. Sections that by their nature should survive termination (including ownership, liability, and dispute terms) survive.

12. Disclaimers and limitation of liability

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that any film will be licensed, seen, or generate revenue.

To the fullest extent permitted by law, W.W. Productions LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or revenues, arising from your use of the Service. Our total liability for any claim will not exceed the greater of one hundred dollars or the amounts you paid us in the twelve months before the claim.

13. Governing law and changes

These terms are governed by the laws of the Commonwealth of Virginia, USA, without regard to conflict-of-law rules. If we make material changes to these terms, we will notify you through the Service or by email, and continued use after the changes take effect means you accept them.
